Terms of Use
Last Updated: June 27, 2026
Welcome to CodeNotes. By installing or using our macOS utility ("Application"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not install or use the Application.
1. License Grant
Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, and revocable license to install and run the Application on macOS devices that you own or control, solely for your personal or internal business use.
2. Intellectual Property and Ownership
The Application is licensed, not sold, to you. All title, ownership rights, intellectual property, code, visual designs, assets, and documentation remain the sole property of the developer. You may not copy, modify, distribute, sell, lease, or reverse-engineer any portion of the Application.
3. Local-First Operation
You acknowledge that the Application is a local-first utility. All file storage, note persistence, and runtime security features (like Stealth Mode) operate entirely offline inside your macOS user sandbox. You are solely responsible for managing, backing up, and protecting the markdown files and notes stored on your system.
4. Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL THE DEVELOPERS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE APPLICATION OR THE USE OR OTHER DEALINGS IN THE APPLICATION.
5. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the developer be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses arising out of or in connection with the use or inability to use the Application.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of your local jurisdiction, without regard to conflict of law principles.
